PSC Business Network Partners Terms and Conditions

DEFINITIONS

BNP – Business Network Partners.
PSC – Professional Services Collective Co-op Ltd.
Partners – A person/business that has applied to become a PSC-BNP & has been approved by the PSC to become Partners.
Referral – A person/business referred to someone among BNP.
Referring Partner – A partner referring “Referred Partner” or 3rd party to “Refer to Partner” by way of making a referral.
Referred Partner – A Person/Business who is referred by “Referring Partner” to “Refer to Partner”.
Refer to Partner– A Person/Business who received the referral from “Referred partner”

BNP (Business Network Partner) Agreement
In order for a Business Network Partner (BNP) to be productive, all partners must be familiar with the expectations, rules and regulations. The following is a list of minimum expectations for partners.

We would like to have our partners producing qualified referrals that may lead to new clients and or new partners. There are many other ways partners can add value and experience in each area described below and if they do, they should enjoy a successful tenure at BNP.

1. PARTNERS’ EXPECTATION

i. Attend all meetings, however, when needed Partners will be excused for up to four (4) meetings. Meetings will be conducted once every month according to the designated region mentioned at the Partners signup. Partners may have a substitute for the excused meetings.

ii. If a Partner cannot attend a meeting they are required to contact PSC at [email protected] (07 3556 8008) before the meeting commences.

iii. Meetings will be conducted according to the schedule posted on the website www.BNP.org.au. Partners are expected to arrive five minutes before.

iv. We encourage our Partners to bring a visitor at least 3 times a year.

v. If you are interested in assuming a speaker/leadership role or invite interesting guest speakers within our group please notify the BNP Committee of your intentions and this may lead to them becoming new Partners.

vi. Be proactive and genuinely interested in building relationships with other Partners by maintaining contact with other Partners.

vii. Contact all received referrals and connections/introductions within a reasonable time.

viii. Our management will be monitoring the progress of all Partners to ensure that new Partners understand BNP.

ix. Partners are encouraged to join BNP on the BNP LinkedIn site and Social Media.

x. The Membership fee is $150 (one-off fee).
a. Your Membership will commence on the date below after you have signed the Membership Agreement.
b. By signing below you agree without prejudice to honour the rules and guidelines set forth by PSC and agree to all of the expectations, rules, and regulations.
c. It is required for Membership for all Members to sign this agreement and provide a copy to the Membership Committee in a timely manner.

2. AGREEMENT TERM

The term of this Agreement shall be for an indefinite period.

3. TERRITORY AND JURISDICTION

The territory for the purpose of this Agreement and jurisdiction shall be Commonwealth of Australia.

4. REVENUE SHARING

a) Partners agree to pay to PSC ten Percentage (10%) of all the revenue generated through BNP on an ongoing monthly basis.

b) Distribution of Referral Payment shall be made at the end of each month.

c) However, when you lodge your Referral Statement with PSC, you can claim your five percent (5%) of each new referral generated through Referring Partners from BNP, off the agreed ten Percentage (10%) of all revenue generated through BNP on an ongoing monthly basis.

d) Partners agree to pay to PSC the Revenue of its business generated through BNP against the 10% of your revenue you received on goods and services among the BNP.

e) Partners must not inflate the price for goods and services above the market price by adding referral commission. Quotes must reflect market price, must not be inflated.

f) PSC is seeking an open and honest support from Partners to uplift this process, therefore, PSC require a transparent and fair approach on the Business Referral Statement from all Partners.

5. PARTNERS COMMITTED AND AGREED AS FOLLOWS

5.1 Payment

The parties acknowledge and agree that if a Partner fails to do prompt transfer required under paragraph 4.0, Partners shall pay late fees, in the event of any delays or failure of payment required under paragraph 4.0.

5.2 Referral Strategy, policies and procedures

Partners agree to consult and reasonably appraise with PSC of its Referral updates and activities and to comply with PSC’s policies and practices to the extent they are reasonable and practicable.

PSC shall have the right to approve such Referral and Partners shall provide a timely opportunity for said approval by PSC. PSC shall exercise its approval rights in a timely and reasonable manner.

Should Partners fail to comply in good faith with its obligations as required under this agreement. PSC shall be entitled to give written notice to Partners of such failure. Partners shall exercise good faith commercially reasonable efforts to maximize revenue on the referral.

5.4 Transfer rights under this agreement

PSC will transfer Rights & Liabilities under this agreement in the event of Sale of business, restructuring, mergers and acquisitions. Partners shall report such events to PSC promptly following the discovery of such events.

5.5 Employment Vacancies

Partners shall pledge their employment vacancies to be published on any of PSC’s Websites/any other digital platforms and PSC may assist and help recruit from PSC’s Volunteers/3rd parties to fulfil such pledged employment vacancies.

6. REFERRAL INFORMATION

Partners will provide to PSC, at the end of each month on an ongoing basis, referral information including Partners customers and other 3rd parties.

At no cost or expense to PSC, Partners will provide to PSC, electronically, monthly access to all Referral information along with transaction summaries.

7. TERMINATION

This Agreement shall be subject to termination in the absolute discretion of PSC without any prejudice, by written notice given to the Partners. The following transactions or occurrences shall constitute material events of termination.
a) Material Breach
b) Insolvency and/or Bankruptcy
c) Failure to Make Payment

Except as otherwise provided herein, no termination of this Agreement for any reason shall relieve or discharge any party hereto from any duty, obligation or liability hereunder which was accrued as of the date of such termination.

8. ASSIGNMENT

This Agreement and the rights and obligations granted hereunder are personal and no Partners shall have the right to sell, assign, transfer, mortgage, pledge or hypothecate any such rights or licenses in whole or in part without the prior written consent of PSC.

Any of said rights or obligations be assigned or transferred to any third party by operation of law, including, without limitation, by merger or consolidation shall not waive the rights and obligation of Partners or titleholder of the business.

Partners shall assign its rights or interest in or to this Agreement in whole or in part, the assigning party will nevertheless continue to remain fully and primarily responsible and liable to PSC for the prompt, full, complete and faithful performance of all terms and conditions of this Agreement.

9. RIGHT TO USE NAMES
Neither Partners or its subsidiaries shall acquire any right to use, nor shall use any copyrights, trademarks, characters or designs owned or controlled by PSC, alone or in conjunction with other words or names, in any advertising, publicity or promotion, either express or implied, without PSC’s prior consent.

10. PUBLIC DISCLOSURE AND CONFIDENTIALITY

Partners agree that no press release or public announcement relating to the existence or terms of this Agreement shall be issued without prior written approval of PSC.

10.1 Confidential Information
During the Term and for a period of 7 years and thereafter, Partners and PSC shall hold and shall cause each of their directors, officers, employees and agents to hold in confidence the terms of this Agreement specifically including but not limited to PSC.

Partners and PSC hereby acknowledge and agree that all information contained in, relating to or furnished pursuant to this Agreement, not otherwise known to the public, is confidential and proprietary and is not to be disclosed to third parties without the prior written consent of both parties.

Neither Partners nor PSC shall disclose such information to any third party (other than to officers, directors, employees, attorneys, accountants and agents of Partners and PSC or the affiliates of either, who have a business reason to know or have access to such information, and only after each of whom agrees to being bound by this paragraph) except:

a. To the extent necessary to comply with any Law or valid order of a governmental agency or court of competent jurisdiction or as part of its normal reporting or review procedure to regulatory agencies;

b. As part of the normal reporting or review procedure by its founders, Holding company, its auditors and its attorneys;

c. To the extent necessary to obtain appropriate insurance to its insurance agent or carrier, that such agent or carrier agrees to the confidential treatment of such information; and

d. To actual or potential successors in interest, provided, however, that such person or entity shall have first agreed in writing to the confidential treatment of such information.

PSC collects and holds personal information from clients, customers, employees, contractors and other individuals. We collect and hold this information when it is necessary for business purposes.

The personal information PSC collects and holds relates to the contact details and organisational roles of our Partners, clients, suppliers and other business contacts. Generally, this information may include but not restricted to names, addresses, telephone numbers, and email addresses.

We collect most information directly from individuals when we deal with them. The personal information we collect may be provided in forms filled by individuals, face to face meetings, email messages, telephone conversations or by third parties. If you contact us, we may keep a record of that contact.

1.1 Use of personal information
The main purposes for which we collect, hold and use personal information are:

1. To provide our services
2. To respond to an individual’s request
3. To maintain contact with clients
4. To keep clients and other contacts informed of the services we offer and industry developments that may be of interest to them, and to notify them of service offerings, seminars and other events we are holding
5. For general management and reporting purposes, such as invoicing and account management
6. For recruitment purposes
7. For purposes related to the employment of our personnel and providing internal services to our staff
8. Other purposes related to our business
9. We may collect, hold and use personal information about individuals to market our services, including by email. However, individuals have the opportunity to elect not to receive further marketing information from us by directly emailing to PSC.

1.2 Disclosure of personal information
PSC does not routinely disclose personal information to other organizations unless:

except as set out in this policy. We do not sell or trade personal information with third parties.

PSC also uses a range of service providers to help us maximize the quality and efficiency of our services and our business operations. This means that individuals and organizations outside of PSC will sometimes have access to personal information held by PSC and may collect or use it from or on behalf of PSC.

Privacy on our websites and applications

This policy also applies to any personal information we collect via our websites, including BNP.com.au and applications including mobile applications. In addition to the personal information you provide to us directly (such as where you make a request or complete a registration form), PSC may also collect personal information from you via its applications and websites.

Cookies are small text files that are placed on your computer by the websites that you visit. They are widely used in order to make websites work, or work more efficiently, as well as to provide information to the owners of the site. The use of cookies is now standard for most websites. If you are uncomfortable with the use of cookies, you can manage and control them through your browser, including removing cookies by deleting them from your browser history (cache) when you leave the site.

In order to properly manage our websites and applications, we may log certain statistics about the users of the facilities, for example, the users’ domains and browser types. None of this information specifically identifies an individual and it is used solely to ensure that our websites and applications present the best possible navigational experience for users.

As PSC wants your user experience to be as informative and resourceful as possible, we provide a number of links to websites and embedded content operated by third parties that may also set cookies. PSC is not responsible for the privacy practices or policies of those sites. We encourage you to review each website’s privacy policy, especially if you intend to disclose any personal information via this site. A link to another non-PSC website is not an express or implied endorsement, promotion or warranty of the products or services offered by or accessible through that site or advertised on that site.

How we use cookies
Third-party vendors, including Google, show our ads on websites. Third-party vendors, including Google, use cookies to serve ads based on a user’s prior visits to a website.

Users may opt-out of Google’s use of cookies by visiting the Google advertising opt-out page. Alternatively, you can opt-out of a third-party vendor’s use of cookies by visiting the Network Advertising Initiative.

Security of personal information
Depending on the purpose for which we have collected personal information (for example, registration for a PSC event or a request for the particular information or material), we may store some of the information electronically in the PSC cloud based system. Some or all of this personal information may be available to Directors and authorized staff and subcontractors of PSC for use in accordance with this policy.

PSC will endeavour to take all reasonable steps to keep secure any information which we hold about you, whether electronically or in hard copy, and to keep this information accurate and up to date, we also require our employees to respect the confidentiality of any personal information held by PSC. Employees and subcontractors are bound by confidentiality agreements that include their responsibility to keep Partners’ data private.

Access to information
We will provide access to personal information upon request by an individual, except in the limited circumstances in which it is permitted for us to withhold this information (for instance, where granting access would infringe another person’s privacy).

When you make a request to access personal information, we may require you to provide some form of identification (such as a driver’s license or passport) so we can verify that you are the person to whom the information relates.

Corrections and concerns
If you believe that the information we hold about you is incorrect or out of date, or if you have concerns about how we are handling your personal information, please contact us on [email protected] and we will try to resolve those concerns.
